12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at Gregory@greatgateway.io to attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of at least thirty (30) days from the date of your initial contact.

12.2 Binding Arbitration

If the dispute cannot be resolved informally within thirty (30) days, either party may elect to resolve the dispute through binding arbitration. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) and shall take place in the State of New York. The arbitrator's decision shall be final and binding, and judgment on the arbitrator's award may be entered in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND GREAT GATEWAY LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both you and Great Gateway LLC agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time. When we make changes, we will:
